These terms govern your use of roboticslender.com (the "site"), operated by Rosetta Labs, Inc., New York, NY ("Robotics Lender", "we", "us"). By using the site you agree to them. The site is for business use: if you use it on behalf of a company, you confirm that you are authorized to accept these terms for it.

Nothing here binds us

Everything on the site, including the calculator, the examples, the blog, the terms and timelines we describe, and anything we send you in reply (emails, calls, indicative terms or term sheets), describes financing we may offer. None of it is an offer, commitment, approval or agreement to lend, lease or provide any financing, and none of it binds us.

  • Figures such as advance rates, tenors, check sizes, rates and fees, and timelines such as when you will hear from us or when funding could follow, are indicative targets, not promises. They may change at any time without notice.
  • Any financing is subject to our due diligence, underwriting and credit approval, at our sole discretion, to signed definitive agreements, and to applicable law. Only signed definitive agreements bind us, and only on their terms.
  • We may decline or stop considering any request at any time, for any reason, without having to explain why.
  • Financing may not be available in every state or jurisdiction.

Not advice

Content on the site, including guides and blog posts, is general information about financing robots. It is not financial, investment, legal, tax or accounting advice, and using the site or contacting us does not create an advisory, fiduciary or client relationship. Talk to your own advisers before making decisions.

Calculator and examples

The financing calculator and the examples on the site are illustrative estimates based on inputs you choose. They are not quotes, and you should not rely on them for any decision. Actual amounts, rates, fees and terms, if any, depend on underwriting of your robots, contracts and customers.

Information you send us

You confirm that information you give us about your company, robots, customers and contracts is accurate and that you have the right to share it. We use it as described in our privacy policy. Sending it to us does not create a confidentiality agreement: if you need one before sharing something, ask us for a non-disclosure agreement first. Feedback or ideas you send us may be used freely, without any obligation to you.

Acceptable use

Do not misuse the site: no attempts to disrupt or gain unauthorized access to it, no scraping or automated access that degrades its performance, no false or misleading submissions, and no use that breaks the law. We may restrict or end access to the site for anyone who does.

Intellectual property

The site's content, design, names and logos belong to Rosetta Labs, Inc. or its licensors. You may share links and short quotes with attribution. Other reproduction needs our written permission.

Links to other sites

The site may link to sites we don't control. We are not responsible for their content, practices or availability.

Disclaimers

The site and everything on it are provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose and non-infringement, to the fullest extent the law allows. Content may be out of date, and figures from third-party sources have not been independently verified. We don't guarantee that the site will be uninterrupted, secure or error-free.

Limitation of liability

To the fullest extent the law allows:

  • Rosetta Labs, Inc. and its affiliates, officers, employees and agents are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, financing, business or data, arising from or related to the site, its content or any decision you make based on them, even if told such damages were possible.
  • Our total liability for any claim arising from or related to the site is limited to one hundred US dollars (US$100).

Indemnity

You agree to indemnify and hold harmless Rosetta Labs, Inc. and its affiliates, officers, employees and agents from any claims, losses and costs (including reasonable legal fees) arising from your misuse of the site, your breach of these terms, or information you send us.

Governing law and disputes

These terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Any dispute arising from or related to the site or these terms will be brought only in the state or federal courts located in New York County, New York, and you consent to their jurisdiction. To the fullest extent the law allows, you and we each waive any right to a jury trial in such a dispute.

Changes

We may update these terms, and we may change, suspend or withdraw the site or any part of it at any time. The date at the top shows when these terms last changed. Continuing to use the site means you accept the updated terms.

General

These terms are the whole agreement between you and us about the site; signed agreements between us, if any, govern any financing. If a part of these terms is unenforceable, the rest still applies. Not enforcing a part of these terms is not a waiver of it. You may not transfer your rights under these terms; we may transfer ours.
